a. Authorize the Deputy Purchasing Agent for Natividad Medical Center (NMC) to execute the Professional Services Agreement with Stephen J. Brabeck M.D. to provide cardiology services at NMC for an amount not to exceed $400,000 for the period September 1, 2015 to September 30, 2017; and
b. Authorize the Deputy Purchasing Agent for NMC to sign up to three (3) amendments to this Agreement where the total amendments do not extend the term by more than twelve (12) months, do not exceed 10% of the original contract amount and do not significantly change the scope of work.

RECOMMENDATION:
It is recommended that the Board of Supervisors:
a. Authorize the Deputy Purchasing Agent for Natividad Medical Center (NMC) to execute the Professional Services Agreement with Stephen J. Brabeck M.D. to provide cardiology services at NMC for an amount not to exceed $400,000 for the period September 1, 2015 to September 30, 2017; and
b. Authorize the Deputy Purchasing Agent for NMC to sign up to three (3) amendments to this Agreement where the total amendments do not extend the term by more than twelve (12) months, do not exceed 10% of the original contract amount and do not significantly change the scope of work.
SUMMARY/DISCUSSION:
NMC currently contracts with three independent contractor physicians to provide 24/7 cardiology call coverage in the emergency department, daily outpatient cardiology clinic and clinical interpretation services to its cardiology patients. It requires at least two full-time physicians to cover the service. NMC would like to enter into an Agreement with Stephen J. Brabeck M.D. to provide cardiology services while one its existing cardiologists is on leave of absence. Dr. Brabeck will cover call and clinic days from time to time as needed which may increase due to patient volume and need for coverage, but will not increase the rate of pay for services. NMC has obtained an independent opinion of fair market value supporting the payment terms of this Agreement.
OTHER AGENCY INVOLVEMENT:
County Counsel has reviewed and approved this Agreement as to legal form and risk provisions. Auditor-Controller has reviewed and approved this Agreement as to fiscal provisions. The Agreement has also been reviewed and approved by Natividad Medical Center’s Finance Committee on July 30, 2015 and Board of Trustees on August 7, 2015.
FINANCING:
The total cost for this Agreement is $400,000 for the period September 1, 2015 to September 30, 2017. $160,000 is included in the Fiscal Year 2015/2016 Adopted Budget. The remaining $240,000 will be budgeted in subsequent Fiscal Years. There is no impact to the General Fund.
