Ratify Transfer Agreement (“Agreement”) between the County of Santa Clara, on behalf of Santa Clara Valley Medical Center (“VMC”), and Natividad Medical Center (“NMC”), for the transfer of patients from NMC to VMC, executed by the former Chief Executive Officer for NMC, for an original term of July 1, 2013, through June 30, 2015, and containing non-standard provisions for general and professional liability insurance and mutual indemnification; and
b. Authorize execution by Deputy Purchasing Agent for NMC of Renewal and Amendment No. 1 to Agreement, designating County of Monterey, on behalf of NMC, as the proper party to the Agreement effective July 1, 2013, and extending the Agreement to June 30, 2020, for a revised full term of July 1, 2013, through June 30, 2020.

RECOMMENDATION:
It is recommended the Board of Supervisors
a. Ratify Transfer Agreement (“Agreement”) Between the County of Santa Clara, on behalf of Santa Clara Valley Medical Center (“VMC”), and Natividad Medical Center (“NMC”), for the transfer of patients from NMC to VMC, executed by the former Chief Executive Officer for NMC, for an original term of July 1, 2013, through June 30, 2015,, and containing non-standard provisions for general and professional liability insurance and mutual indemnification.
b. Authorize execution by Deputy Purchasing Agent for NMC of Renewal and Amendment No. 1 to Agreement, designating County of Monterey, on behalf of NMC, as the proper party to the Agreement effective July 1, 2013, and extending the Agreement to June 30, 2020, for a revised full term of July 1, 2013, through June 30, 2020.
SUMMARY/DISCUSSION:
It may be necessary from time to time for Natividad Medical Center to transfer a patient to Santa Clara Valley Medical Center for outpatient or inpatient healthcare services that are not provided or available at NMC. This agreement is a patient transfer agreement whereby the terms and conditions regarding the transfer are mutually agreed upon in advance of the transfer.
The parties desire to enter into this Agreement in order to arrange for the orderly, timely and therapeutically beneficial transfer of patients and to establish the conditions under which transfers occur. The initial agreement was entered into as of July 1, 2013 by the former CEO, without obtaining County Counsel review and approval. The current Interim CEO recommends ratification of the non-standard provisions for general and professional liability insurance and mutual indemnification.
The renewal and amendment no. 1 designates County of Monterey, on behalf of NMC, as the proper party to the Agreement, effective as of July 1, 2013, and extends the Agreement to June 30, 2020.
OTHER AGENCY INVOLVEMENT:
County Counsel has reviewed and approved this Renewal and Amendment No. 1 as to legal form. The Renewal and Amendment No. 1 has also been reviewed and approved by NMC’s Finance Committee on 07/23/15 and by the NMC Board of Trustees on 08/07/15.
FINANCING:
Costs associated with this Agreement and Amendment is minimal. In some circumstances Medicare/Medi-Cal will require NMC to pay for some services and include them in NMC’s facility claim to Medicare/Medi-Cal.
