a. Authorize the Deputy Purchasing Agent for Natividad Medical Center (NMC) or his designee to execute Amendment No. 4 to the Agreement with Key & Young, Inc. d.b.a. Commercial Service Company for repair services on commercial refrigeration equipment and HVAC systems, adding $100,000 for a revised total agreement amount not to exceed $200,000 with an agreement term of October 1, 2011 through September 30, 2017.
b. Authorize the Deputy Purchasing Agent for NMC or his designee to execute up to three (3) future amendments to the agreement which do not significantly alter the scope of work and do not cause an increase of more than ten percent (10%) of the original cost of the agreement per each amendment.

RECOMMENDATION:
It is recommended the Board of Supervisors:
a. Authorize the Deputy Purchasing Agent for Natividad Medical Center (NMC) or his designee to execute amendment No. 4 to the agreement with Key & Young, Inc. d.b.a. Commercial Service Company for repair services on commercial refrigeration equipment and HVAC systems, adding $100,000 for a revised total agreement amount not to exceed $200,000 with an agreement term of October 1, 2011 through September 30, 2017.
b. Authorize the Deputy Purchasing Agent for NMC or his designee to execute up to three (3) future amendments to the agreement which do not significantly alter the scope of work and do not cause an increase of more than ten percent (10%) of the original cost of the agreement per each amendment.
SUMMARY/DISCUSSION:
Key & Young, Inc. d.b.a. Commercial Service Company specializes in replacement and repair services including procurement of parts and supplies needed for related repairs at NMC for Heating, Ventilation, and Air Conditioning (HVAC) systems and commercial refrigeration equipment, including medical grade refrigerators and medical freezers that are regulated and audited by The Joint Commission (TJC) and the state of California through Title 22 and Title 24. These systems and components are vital to patient care as they support equipment and processes in various units, including Laboratory, Radiology, Pharmacy, Labor & Delivery, and Food Services. They also maintain acceptable indoor air quality through proper ventilation which is a key factor in reducing the spread of airborne diseases in addition to maintaining the heating and cooling of the entire hospital.
OTHER AGENCY INVOLVEMENT:
County Counsel has reviewed and approved this amendment No. 4 as to legal form and risk provisions, and the Auditor-Controller has reviewed and approved as to payment provisions. The amendment No. 4 has also been reviewed and approved by NMC’s Finance Committee on July 28, 2016 and by its Board of Trustees on August 5, 2016.
FINANCING:
The cost for this amendment No. 4 is $100,000 of which $100,000 is included in the Fiscal Year 2016-17 Adopted Budget. Amounts for remaining years of the agreement will be included in those budgets as appropriate. There is no impact to the General Fund.
