RECOMMENDATION:

It is recommended that the Board of Supervisors:

a.                     Correct an error in Board Order A-15-297 dated August 25, 2015, which approved the Professional and Call Coverage Services Agreement with Stephen J. Brabeck M.D. to provide cardiology services at NMC, to identify correctly the term of the Agreement as follows:  “August 1, 2015 to September 30, 2017”;

b.                     Authorize the Deputy Purchasing Agent for Natividad Medical Center (NMC) or his designee to execute the Second Amendment to the Professional Services Agreement (A-12925) with Stephen J. Brabeck M.D. to provide cardiology services adding $200,000 for a revised not to exceed amount of $640,000 in the aggregate with no change to the agreement term of August 1, 2015 to June 30, 2018; and

c.                     Authorize the Deputy Purchasing Agent for NMC or his designee to sign up to three (3) amendments to this Agreement where the total amendments do not extend the term by more than twelve (12) months, do not exceed 10% ($40,000) of the original contract amount and do not significantly change the scope of work.

 

SUMMARY/DISCUSSION:

On August 25, 2015, the Board of Supervisors considered a board report seeking approval of a Professional and Call Coverage Services Agreement with the Stephen J. Brabeck M.D. to provide cardiology services.  The board report failed to identify correctly the term of the Agreement as agreed to by both parties.  Board Order A-15-297 approving the Agreement indicated that the effective date of the agreement was September 1, 2015, but consistent with the Agreement itself, should have indicated that the effective date of the Agreement was August 1, 2015.  NMC requests that Board Order A-15-297 be correct to identify correctly the term of the Agreement. 

 

NMC utilized the Board of Supervisors’ approval of three (3) future amendments to enter into a First Amendment to the Agreement on May 12, 2017.  The First Amendment extended the term by twelve months and added $40,000.  NMC now wishes to enter into a Second Amendment to add $200,000 so that Dr. Brabeck can continue to provide the services without interruption. 

Dr. Brabeck provides outpatient clinic and clinical interpretation services to its cardiology patients at least two days a week.  He is paid a daily rate for clinic services, although the amount of services provided may increase due to patient volume and the need for coverage, the rate of pay remains the same. NMC has obtained an independent opinion of fair market value supporting the payment terms of this Agreement.

 

OTHER AGENCY INVOLVEMENT:

County Counsel has reviewed and approved this Amendment as to legal form and risk provisions.  Auditor-Controller has reviewed and approved this Amendment as to fiscal provisions.  The Amendment has also been reviewed and approved by Natividad Medical Center’s Finance Committee on May 25, 2017 and Board of Trustees on June 2, 2017.

 

FINANCING:

The cost of this Amendment is $200,000.  The total not to exceed amount of this Agreement is $640,000.  $199,272 was disbursed in Fiscal Year 2015/2016; $179,655 was disbursed in Fiscal Year 2016/2017 (9 months); $200,000 is included in the Fiscal Year 2017/2018 Recommended Budget.  The remaining amount will be budgeted in subsequent fiscal years. There is no impact to the General Fund.
