b. Authorize the Deputy Purchasing Agent for NMC or his designee to execute up to three (3) future amendments to the agreement which do not significantly alter the scope of work and do not cause an increase of more than ten percent (10%) ($45,214) of the original cost of the agreement per each amendment.

 

 

Report

RECOMMENDATION:

 

It is recommended the Board of Supervisors:

 

a.                     Authorize the Deputy Purchasing Agent for Natividad Medical Center (NMC) or his designee to execute an agreement with Karl Storz Endoscopy-America for equipment maintenance repair and preventative maintenance services at NMC for an amount not to exceed $452,136 for the term July 1, 2017 through June 30, 2020.

b.                     Authorize the Deputy Purchasing Agent for NMC or his designee to execute up to three (3) future amendments to the agreement which do not significantly alter the scope of work and do not cause an increase of more than ten percent (10%) ($45,214) of the original cost of the agreement per each amendment.

 

SUMMARY/DISCUSSION:

 

NMC has multiple cameras, laparoscopes and instruments purchased from Karl Storz. This agreement covers the repair and maintenance of the equipment and provides a guarantee of unlimited repair and replacement of the listed items for the specified sum and time period. Additionally, the contract provides for immediate loan of replacement equipment while repairs are conducted preventing rescheduling or cancellations of procedures. As Karl Storz Endoscopy-America is the manufacturer of the equipment and sole proprietor they are the only contractor able to provide these services and provide loaner equipment.

 

These maintenance and repair services are important for continued patient care in surgery. Surgery has moved to a highly technologic service dependent on sophisticated equipment which requires special attention and availability.

 

This agreement replaces an older agreement from 2011 and includes the updated terms and conditions with the County  Agreement and a Letter of Declination of Business Associate with Karl Storz and will continue to provide equipment maintenance repair and preventative maintenance services for the NMC Operating Department.

 

OTHER AGENCY INVOLVEMENT:

 

County Counsel has reviewed and approved this Agreement as to legal form and risk provisions, and the Auditor-Controller has reviewed and approved as to payment provisions. The Agreement has also been reviewed and approved by NMC’s Finance Committee on 05/05/17 and by its Board of Trustees on 05/05/17.

 

FINANCING:

 

The cost for this Agreement is $452,136 of which of which $ 150,712 which is included in the Fiscal Year 2017-18 Recommended Adopted Budget. Amounts for remaining years of the Agreement will be included in those budgets as appropriate. There is no impact to the General Fund
