RECOMMENDATION:

It is recommended that the Board of Supervisors:

a.                     Authorize the Deputy Purchasing Agent for Natividad Medical Center (NMC) or his designee to execute the First Amendment to Professional Services Agreement with Kristin A. Bakhda, WHNP, CNM to provide nurse midwife services, extending the term by twenty-four (24) months (January 1, 2018 to December 31, 2019) for a revised full agreement term of January 1, 2017 to December 31, 2019 and adding $200,000 for a revised amount not to exceed $300,000 in the aggregate; and

b.                     Authorize the Deputy Purchasing Agent for NMC to sign up to three (3) future amendments to this agreement where the total amendments do not significantly change the scope of work and do not cause an increase of more than ten percent 10% ($10,000) of the original contract amount per each amendment.

 

Natividad Medical Center operates a labor and delivery unit with over 2,000 deliveries per year.  In January 2017, NMC added midwifery services - trained health professional who helps healthy women during labor, deliver and after the birth of their babies - to enhance the breadth of its obstetric and gynecological services becoming the only hospital in Monterey County to offer this service to its patients. 

 

NMC has an agreement with Kristin Bakhda, a certified nurse midwife (CNM) to provide at least one 15 hour shift seeing patients on the labor and delivery unit per week.  NMC wishes to amend the agreement to extend the term by twenty-four months so that Kristin can continue to provide at least the same services without interruption.  Kristin is paid an hourly rate according to the terms of the agreement, although the amount of services provided may increase due to the need for coverage, the rate of pay remains the same.   NMC has obtained an independent opinion of fair market value supporting the payment terms. 

 

 

 

OTHER AGENCY INVOLVEMENT:

County Counsel has reviewed and approved this Amendment as to legal form and risk provisions.  Auditor-Controller has reviewed and approved this Amendment as to fiscal provisions.  The Amendment has also been reviewed and approved by Natividad Medical Center’s Finance Committee on October 26, 2017and Board of Trustees on November 3, 2017.

 

FINANCING:

The cost of this Amendment is $200,000.  The total not to exceed amount of the Agreement is $300,000 for the period January 1, 2017 to December 31, 2019.  $17,392 was disbursed in Fiscal Year 2016/2017 (6 months).  NMC has agreements with multiple nurse midwife providers to ensure sufficient coverage of this service for which the total expenditure will not exceed $175,000 annually and is included in the Fiscal Year 2017/2018 Adopted Budget.  The remaining amount will be budgeted for subsequent fiscal years. There is no impact to the General Fund.

The services rendered in this agreement provide NMC with the additional support it needs in order to provide reliable and high quality patient care which improves the health and quality of life for patients and their families.
