RECOMMENDATION:

 

It is recommended the Board of Supervisors:

 

Authorize the Deputy Purchasing Agent for Natividad Medical Center (NMC) or his designee to execute Amendment No. 4 to the agreement (A-11012) with GE Healthcare for biomedical equipment services to extend the term of the agreement for an additional seventy-five day (75) day period (December 15, 2017 through February 28, 2018) for a revised full agreement term of September 1, 2007 through February 28, 2018, with no increase to the total agreement amount of $2,972,506.

 

SUMMARY/DISCUSSION:

 

Natividad Medical Center (NMC) has had an agreement with GE Healthcare (GE) for biomedical engineering services since 2007.  The services include preventive equipment maintenance on biomedical equipment, sterilizer and laboratory equipment as well as contracted personnel to manage and maintain the inventory.  The Joint Commission requires that hospitals have an Equipment Management Plan that details the hospital’s biomedical equipment inventory with a plan on how it will be maintained based on the manufacturer’s recommendation.  GE performs all of the functions to keep the hospital compliant with the Joint Commission requirement. 

 

The current agreement expires on December 14, 2017.  NMC has been actively working with GE for several months on a final amendment to the contract to extend the term and revise the billing structure in conjunction with an updated inventory list of equipment.  That amendment will allow for NMC to continue its longstanding relationship with GE for a short period of time (one year or less) while NMC leadership works on releasing a Request for Proposal (RFP) for preventive equipment maintenance on biomedical equipment.  Because NMC and GE Healthcare have not yet reached mutual agreement on certain terms and conditions to the amendment, this amendment No. 4 simply extends the term for an additional seventy-five (75) days in order to mitigate any gaps in service while negotiations continue.  At that time NMC will bring a final amendment to the Board of Supervisors for review and approval.  

 

OTHER AGENCY INVOLVEMENT:

 

County Counsel has reviewed and approved this amendment No. 4 as to legal form and risk provisions, and the Auditor-Controller has reviewed and approved as to payment provisions. The amendment No. 4 has also been reviewed and approved by NMC’s Finance Committee on December 1, 2017. The December 1, 2017 meeting of the Board of Trustees was cancelled for lack of a quorum. The amendment was reviewed and approved by the NMC Executive Committee on December 5, 2017.

 

FINANCING:

 

There is no cost associated with this request. There is no impact to the General Fund.
