RECOMMENDATION:

It is recommended that the Monterey County Water Resources Agency Board of Directors:

 

Adopt a resolution amending the Bylaws of the Monterey County Water Resources Agency Board of Directors.

 

SUMMARY/DISCUSSION:

Agency staff and the ad-hoc committee on Bylaw amendments have proposed revisions to the Bylaws that are attached hereto as Attachment 1 (redline version) and 2 (clean version).  These revisions were discussed with the Board on October 15, 2018.  The Bylaws were last amended in September 19, 2016, and many of the attached revisions are simply clean-up measures.  Specifically, proposed changes to “Section V. Meetings” have been made to update language concerning the Brown Act.

 

As previously discussed, in order to amend section 2.04 concerning Director compensation, Ordinance No. 3609 needs to be amended by the Board of Supervisors.  Staff is currently working on an amended ordinance and will take this item to the Board of Supervisors soon.

 

As directed by the Board, the following revisions have been made:

 

                     Chair and Vice Chair will begin to serve two year terms starting January 2020 (Section 3.02).

                     The Board Chair will appoint the Chair and Vice Chair of each Board committee (Section 4.01). 

                     The Salinas Valley City representative to the Basin Management Advisory Committee has been removed (Section 4.03(b)).

                     Section V “Meetings” has been updated throughout to update language concerning the Brown Act.

                     If a Director is recused because of the California Political Reform Act or Government Code section 1090, the Director will not be counted towards the quorum.  If the recusal of a Director on a certain item will upset the quorum, such item will be trailed to the end of the meeting and continued to a future meeting when a quorum can be obtained.  If a Director otherwise abstains from voting, they will be counted towards the quorum, but the vote of the abstaining member will not be counted either for or against the measure (Section 5.05). 

 

OTHER AGENCY INVOLVEMENT:

None.

 

FINANCING:

There is no anticipated fiscal impact to the adoption of the draft Bylaws amendments.
