Title: a. RECOMMENDATION:

It is recommended that the Board of Supervisors:

a.                     Approve and authorize the Director of Health or Assistant Director of Health to sign a Master Services Agreement with Accela, Inc. for the provision of software license subscription, software maintenance/support in a vendor hosted data environment, and professional services as needed for the term retroactive to July 1, 2018 through June 30, 2021 in an aggregate amount not to exceed $220,082, including non-standard terms regarding limitation of liability and indemnification as recommended by the Director of Health; and

b.                     Approve and authorize the Director of Health or Assistant Director of Health to approve up to three (3) future amendments that do not exceed ten percent (10%) ($22,009) of the original Master Services Agreement amount and do not significantly alter the scope of services.

 

SUMMARY/DISCUSSION:

Envision Connect is a unified solution that supports the permitting, regulatory oversight, inspection management, service billing, reporting and data requirements of Environmental Health Bureau (EHB).  This solution was originally provided by Decade Software Company, LLC in a prior Agreement with the County of Monterey.  During the prior Agreement term, Decade Software Company, LLC was acquired by Accela, Inc. and negotiations for Software as a Service (Saas) ensued between the County of Monterey and Accela, Inc. for the renewal term specified in this recommended action.  The difficulty and extensive process of negotiating the terms of the new Agreement that included incorporating all terms of this SaaS engagement, the insurance provisions, detailed payment schedule, and limitation of liability and indemnification terms prevented this from being brought before the Board of Supervisors until this time.  The resulting document brought before the Board encapsulates the full terms, services, support, and cost that was not standard form for the vendor but negotiated to ensure the Board can review the full scope of this engagement. 

 

The approval of this recommended action by the Director of Health will maintain the continuity of the EHB programs and their data requirements that include Hazardous Materials, Land Use, Consumer Protection, Environmental Health Review, Solid Waste, Recycling and Resource Recovery and Water Program. 

 

This work supports the following Monterey County Health Department 2018-2022 strategic plan initiative: 1. Empower the community to improve health through programs, policies. This also supports two of the ten essential public health services, specifically: 2. Diagnose and investigate health problems and health hazards in the community, and 6. Enforce laws and regulations that protect health and ensure safety.

 

OTHER AGENCY INVOLVEMENT:

County Counsel, Information Technology and Auditor-Controller have reviewed and approved this Master Service Agreement as to legal form, technology and fiscal provisions respectively. 

 

FINANCING:

Funding for this Agreement is included in the Health Department/Environmental Health Bureau FY 2018-19 Adopted Budget (4000-HEA005-8117) and will be included in Fiscal Year’s 2019-20 and Fiscal Year’s 2020-21’s requested budgets.
