RECOMMENDATION:

It is recommended that the Board of Supervisors:

a.  Approve Amendment No. 7 to Professional Services Agreement No. A-12577, Multi-Year Agreement #3000*267, with Wallace Group to continue to provide services associated with on-call County Service Area (CSA)/County Sanitation District (CSD) engineering services, Request for Qualifications #10249, to  increase the not-to-exceed amount by $75,000 for a total amount not to exceed $275,000 and extend the expiration date from January 25, 2020 for approximately twelve (12) additional months through December 31, 2020, for a revised term from January 25, 2012 to December 31, 2020; and

b.  Authorize the Contracts/Purchasing Officer or Contracts/Purchasing Supervisor to execute Amendment No. 7 to Professional Services Agreement No. A-12577.

 

SUMMARY:

The Resource Management Agency (RMA) has established several on-call agreements for specialized services when County staff requires special expertise or when the volume of work exceeds staff’s capacity to handle it.  On-call agreements are utilized across the RMA and by other County Departments for specialized engineering expertise as needed for specific operations and capital projects.

 

DISCUSSION:

The RMA has identified a need for Wallace Group to continue to provide services associated with on-call County Service Area (CSA) and County Sanitation District (CSD) engineering services to assist CSA/CSD Division staff in areas related to sanitation, storm drainage, and other public works projects.

 

Amendment No. 7 to Professional Services Agreement (PSA) No. A-12577 between the County and Wallace Group will update the indemnification provisions pursuant to the revisions to California Civil Code Section 2782.8 effective January 1, 2018; extend the expiration date of the PSA from January 25, 2020 for approximately twelve (12) additional months through December 31, 2020 [beyond the anticipated five (5) year PSA term allowed per Request for Qualifications (RFQ) #10249 for a total term of approximately nine (9) years], for a revised term from January 25, 2012 to December 31, 2020; and increase the not-to-exceed amount of $200,000 by $75,000, for a total amount not to exceed $275,000.  The number of extensions and term for this agreement exceed the standard five (5) year term.  Since RMA has an ongoing need for these services, additional time beyond the original term of the PSA authorized per RFQ #10249 is required.  County staff recommends extending the term of the PSA while the disposition of the County CSA and CSD sanitation systems is being negotiated with Cal-Am pursuant to the Board-approved exclusive negotiating rights agreement between the County and Cal-Am.  That negotiation process is anticipated to concluded by the end of December 2020.  The proposed Amendment No. 7 extends the term through December 31, 2020, and will allow the additional time needed for the transfer of the County CSA and CSD sanitation systems to be completed and enable County staff to procure professional services under a new RFQ.

 

Attachment I provides a summary of the PSA and amendments to date.  Attachment J provides a summary of annual expenditures and current balance remaining for this PSA.

 

OTHER AGENCY INVOLVEMENT:

The Office of the County Counsel and the Auditor-Controller have reviewed and approved Amendment No. 7 to the PSA as to form and fiscal provisions, respectively.

 

FINANCING:

Appropriations for projects under this PSA come from individual CSA and CSD budgets as services are required.  The Fiscal Year 2019-20 Adopted Budget includes $1,079,384 and $1,301,478 for CSA and CSD Services & Supplies, respectively.

 

BOARD OF SUPERVISORS STRATEGIC INITIATIVES:

The requested recommendation to authorize amendment No. 7 to extend the PSA with Wallace Group adheres to the Board of Supervisors Strategic Initiative for Administration.  Approval of the PSA amendment supports effective administration of the CSAs/CSDs by providing for the specialized services essential to the successful transfer of the County sanitation systems.
