RECOMMENDATION:

It is recommended that the Board of Supervisors:

Approve and authorize the Director of Health or Assistant Director of Health to execute a renewal Amendment No. 1 to the Master License Agreement A-14190 with Ovid Technologies, Inc. to provide an Internet-based subscription product of Medical Psychiatry Journals, extending the term to April 15, 2021 for an increased amount of $8,858, for a new total Agreement amount not to exceed $17,188 for the term of January 1, 2019 to April 15, 2021.

 

SUMMARY/DISCUSSION:

Ovid Technologies, Inc. (“Ovid”) provides an annual licensed web-based subscription of Medical Psychiatry Journals to Monterey County Health Department Behavioral Health Bureau (“MCBH”).  This renewal Amendment extends the Master License Agreement A-14190 (“Agreement”) with Ovid, which expired on December 31, 2019. 

 

Ovid issues a new subscription Quote/Order (“Order”) for each annual Medical Psychiatry Journal subscription renewal and accordingly the County has created a new Agreement for each of the past two (2) calendar years.  Approval of this recommended Renewal & Amendment No. 1 will extend the Agreement for an additional fifteen (15) and a-half (1/2) months to allow time for the Board process, signature of Quote, and startup of a twelve (12) month subscription. 

 

This action will enable MCBH’s authorized users to continue to conduct individual research and obtain answers to clinical questions.  Authorized users consist of psychiatrists, mid-levels, faculty, nurses and medical professionals who are employed by MCBH. 

 

The Agreement does not carry the County’s standard insurance and indemnification provisions and carries limitation of liability and limited warranties.  The original Board action previously accepted the non-standard Agreement and risk terms regarding limitations on liability, limited warranties, removal of indemnification and insurance provisions, as recommended by the Director of Health.

 

Either Party may terminate the Agreement upon thirty (30) days’ prior written notice to the other for no cause or for cause the Party shall have the right to terminate the Agreement and/or any subscription Order, immediately, by written notice if such breach or default is not cured to reasonable satisfaction within thirty (30) days of such notice.

 

This work supports the Monterey County Health Department (“MCHD”) 2018-2022 strategic initiative:  Engage MCHD workforce and improve operational functions to meet current and developing population health needs, and supports three of the ten essential public health services, specifically:  2. Diagnose and investigate health problems and health hazards in the community; 3. Inform, educate, and empower people about health issues; and 8. Assure competent public and personal health care workforce.

 

OTHER AGENCY INVOLVEMENT:

The Office of the County Counsel and the Auditor-Controller have reviewed and approved this Amendment No. 1 as to form and fiscal provisions, respectively. 

 

FINANCING:

The funds ($8,858) for this Agreement are included in the Health Department’s Behavioral Health Bureau’s (HEA012, Unit 8410) FY 2019-20 Adopted Budget.
