a. Authorize the NMC Chief Executive Officer for Natividad Medical Center (NMC) or his designee to execute amendment No. 1 to the agreement (A- 13418) with Agiliti Surgical, Inc. (Formerly UHS Surgical Services, Inc.) for the provision of lithotripsy, cryotherapy, and laser-guided imagery services, extending the agreement an additional two (2) year period (January 1, 2021 through December 31, 2022) for a revised full agreement term of January 1, 2017 through December 31, 2022, and adding $145,000 for a revised total agreement amount not to exceed $270,000.
b. Approve the NMC Chief Executive Officer’s recommendation to accept non-standard indemnification, insurance, limitations on liability, and limitations on damages provisions within the agreement.

RECOMMENDATION:
It is recommended the Board of Supervisors:
a. Authorize the NMC Chief Executive Officer for Natividad Medical Center (NMC) or his designee to execute amendment No. 1 to the agreement (A- 13418) with Agiliti Surgical, Inc. (Formerly UHS Surgical Services, Inc.) for the provision of lithotripsy, cryotherapy, and laser-guided imagery services, extending the agreement an additional two (2) year period (January 1, 2021 through December 31, 2022) for a revised full agreement term of January 1, 2017 through December 31, 2022, and adding $145,000 for a revised total agreement amount not to exceed $270,000.
b. Approve the NMC Chief Executive Officer’s recommendation to accept non-standard indemnification, insurance, limitations on liability, and limitations on damages provisions within the agreement.
SUMMARY/DISCUSSION:
Extracorporeal shock wave lithotripsy (ESWL) involves administering a series of shock waves generated by a machine called a lithotripter. By x-ray, the shockwaves focus on the kidney stone, traveling into the body through skin and tissue, reaching the stone where it is then broken into small fragments. Agiliti Surgical Inc. provides the following services extracorporeal shock wave lithotripsy (ESWL), Cryotherapy, and Laser Imagery at Natividad Medical Center (NMC).
The equipment and services provided by Agiliti have aided Natividad’s surgical staff tremendously in performing complex kidney stone procedures. This amendment is to add funds to the agreement to cover current costs and anticipated future costs.
OTHER AGENCY INVOLVEMENT:
The Office of County Counsel has reviewed and approved this amendment No. 1 as to form, and the Auditor-Controller has reviewed and approved as to payment provisions. This amendment No. 1 has also been reviewed and approved by NMC’s Finance Committee and by its Board of Trustees on October 9, 2020.
FINANCING:
The cost for this amendment No. 1 is $145,000, of which $30,000 is included in the Fiscal Year 2020-21 Adopted Budget. Amounts for the remaining years of the agreement will be included in those budgets as appropriate.
BOARD OF SUPERVISORS STRATEGIC INITIATIVES:
Supporting Agiliti Surgical Inc. facilitates improved surgical management for patients with kidney stone disease. The primary advantage of utilizing Agiliti is that ESWL is completely a non-invasive approach to removing kidney stones.
