a. Authorize the Chief Executive Officer for Natividad or his designee to execute the Professional and Call Coverage Services Agreement with Central Valley Imaging Medical Associates, Inc., d.b.a. Radiology Diagnostic Services, Inc. (RADS) to provide radiology services for the period November 23, 2020 to November 30, 2021 for an amount not to exceed $1,900,000; and
b. Authorize the Chief Executive Officer for Natividad or his designee to sign up to three (3) future amendments to this Agreement where the total amendments do not significantly change the scope of work and do not exceed ten percent 10% ($190,000) of the original contract amount.

RECOMMENDATION:
It is recommended that the Board of Supervisors:
a. Authorize the Chief Executive Officer for Natividad or his designee to execute the Professional and Call Coverage Services Agreement with Central Valley Imaging Medical Associates, Inc., d.b.a. Radiology Diagnostic Services, Inc. (RADS) to provide radiology services for the period November 23, 2020 to November 30, 2021 for an amount not to exceed $1,900,000; and
b. Authorize the Chief Executive Officer for Natividad or his designee to sign up to three (3) future amendments to this Agreement where the total amendments do not significantly change the scope of work and do not exceed ten percent 10% ($190,000) of the original contract amount.
SUMMARY/DISCUSSION:
Natividad would like to enter into an agreement with RADS, for which board certified radiologists provide exclusive radiology services at Natividad 24/7/365. Radiology services include inpatient and outpatient diagnostic and women’s imaging services and interventional radiology services required by the American College of Surgeons for Level II Trauma Centers. RADS will also provide a radiology physician to serve as the medical director and provide general direction and oversight of the Radiology Department. Natividad has obtained an independent opinion of fair market value supporting the payment terms of this Agreement.
OTHER AGENCY INVOLVEMENT:
County Counsel has reviewed and approved this Agreement as to legal form. Auditor-Controller has reviewed and approved this Agreement as to fiscal provisions. The Agreement has also been reviewed and approved by Natividad’s Finance Committee and Board of Trustees on October 9, 2020.
FINANCING:
The cost of this Agreement is $1,900,000 for the period November 23, 2020 to November 30, 2021, the cost is included in the Fiscal Year 2020/2021 Adopted Budget. There is no impact to the General Fund.
BOARD OF SUPERVISORS STRATEGIC INITIATIVES:
The services rendered in this agreement are required for Level II Trauma Centers and provide Natividad with the additional support it needs in order to provide reliable and high quality patient care which improves the health and quality of life for patients and their families.
