SUMMARY/DISCUSSION:

Natividad must arrange for the care and treatment of hospitalized patients and patients who present to the emergency department and outpatient clinic in need of medical care in the specialty of cardiology.  Natividad has an agreement with Dr. Serio to provide cardiology call coverage in the emergency department, inpatient consults, daily (Monday through Friday) cardiology services in the outpatient clinic and clinical interpretation services to its cardiology patients.   Natividad wishes to amend the current agreement with Dr. Serio so that he can continue to provide the services without interruption.

Dr. Serio is paid a rate for services according to the terms of this agreement. Although the amount of services may increase or decrease due to patient volumes and the need for coverage, the rate of pay remains the same.  Natividad has obtained an independent opinion of fair market value supporting the payment terms of this Agreement.
