RECOMMENDATION:
It is recommended that the Board of Supervisors:
Authorize the Contracts/Purchasing Officer to execute the Acknowledgement and Consent to the Assignment of County Contracts Agreement between Dona Lloyd (Assignor) and Jane's Answering Service LP (Assignee) effective February 28, 2024 for Agreement #5010-305.
SUMMARY/DISCUSSION:
The Department of Social Services (DSS) entered into a contract with Jane's Answering Service to provide after-hours coverage for phone calls for the Child Protective Services (CPS) and the Adult Protective Services (APS) programs for the period of July 1, 2023 to June 30, 2024. DSS was notified on March 1, 2024 that Assignor had sold all of the assets of Assignor's answering service business known as Jane's Answering Service to Assignee, Jane's Answering Service LP, a limited partnership. Assignor has agreed to assign all contract rights and agreements to Assignee, and Assignee has agreed to assume all obligations of Assignor. This action requires Board of Supervisors approval.
OTHER AGENCY INVOLVEMENT:
The Auditor Controller and Purchasing have reviewed and approved this Agreement. County Counsel has approved the agreement as to form.
FINANCING:
The current funding for this agreement is not affected by the Assignment and Assumption Agreement. There is no additional impact to the County General Fund with this recommended action.
BOARD OF SUPERVISORS STRATEGIC INITIATIVES:
This Agreement correlates to the Health and Human Services Initiative adopted by the Board of Supervisors by allowing the Department to respond timely to CPS and APS after-hours emergency response calls.
