Authorize the Deputy Purchasing Agent for Natividad Medical Center (NMC) or his designee to execute the Third Amendment to the Professional and Call Coverage Services Agreement (A-14299) with Cardiopulmonary Associates Medical Group (CPA) to provide pulmonary medicine and critical care services, extending the term by twenty-four months (July 1, 2020 to June 30, 2022) and adding $200,000, for a revised total not to exceed amount of $400,000.

RECOMMENDATION:
It is recommended that the Board of Supervisors:
Authorize the Deputy Purchasing Agent for Natividad Medical Center (NMC) or his designee to execute the Third Amendment to the Professional and Call Coverage Services Agreement (A-14299) with Cardiopulmonary Associates Medical Group (CPA) to provide pulmonary medicine and critical care services, extending the term by twenty-four months (July 1, 2020 to June 30, 2022) and adding $200,000, for a revised total not to exceed amount of $400,000.
SUMMARY/DISCUSSION:
NMC operates an intensive care unit (ICU) for the care and treatment of hospitalized patients facing life-threatening illness or injury. In order to ensure 24 hour a day coverage of the ICU, it requires a team of critical care physicians, known as intensivists. CPA provides two board certified pulmonary medicine and critical care physicians to cover daily rounding in the ICU as needed to cover for employed physicians who were not available (e.g., vacation; illness; continuing medical education; etc.).
Natividad anticipates increased utilization of these critical care services due to COVID-19, which require putting into place this Third Amendment prior to agreement’s natural term date to add funds and restructure the payment terms so that CPA can continue to provide services. NMC has obtained an independent opinion of fair market value supporting the payment terms of this Agreement.
OTHER AGENCY INVOLVEMENT:
County Counsel has reviewed and approved this Agreement as to legal form. Auditor-Controller has reviewed and approved this Agreement as to fiscal provisions. The Agreement has also been reviewed and approved by Natividad Medical Center’s Finance Committee and Board of Trustees on May 8, 2020.
FINANCING:
The cost of this Amendment is $200,000. The total not to exceed amount of the Agreement is $400,000 for the period July 1, 2018 to June 30, 2022 (48 months). $100,000 is included in the Fiscal Year 2020/2021 Recommended Budget. There is no impact to the General Fund.

The services rendered in this agreement provide NMC with the additional support it needs in order to provide reliable and high quality patient care which improves the health and quality of life for patients and their families.
