RECOMMENDATION:

It is recommended that the Board of Supervisors:

Approve and authorize the Director of Health or Assistant Director of Health to execute a Renewal & Amendment No. 2 to the Master License Agreement A-14190 with Ovid Technologies, Inc. to provide an Internet-based subscription product of Medical Psychiatry Journals, extending the term to June 30, 2022 for an increased amount of $11,308, for a new total Agreement amount not to exceed $28,496 for the term of January 1, 2019 to June 30, 2022.

 

SUMMARY/DISCUSSION:

Ovid Technologies, Inc. (“Ovid”) provides a licensed web-based subscription to Medical Psychiatry Journals to Monterey County Health Department Behavioral Health Bureau (“MCBH”).  This renewal Amendment extends the Master License Agreement A-14190 (“Agreement”) with Ovid, which expired on April 15, 2021, through June 30, 2022.  Approval of this recommended Renewal & Amendment No. 2 will extend the Agreement and provide MCBH’s authorized users, consisting of psychiatrists, mid-level practitioners, nurses, and other medical professionals un-interrupted access to the latest research to address clinical questions. 

 

The Agreement does not include the County’s standard insurance and indemnification provisions as well as limitation of liability and limited warranties.  The original Board action of December 4, 2018 accepted the non-standard Agreement and risk terms regarding limitations on liability, limited warranties, removal of indemnification and insurance provisions, as recommended by the Director of Health.

 

Either Party may terminate the Agreement upon thirty (30) days’ prior written notice to the other for no cause or for cause the Party shall have the right to terminate the Agreement and/or any subscription Order, immediately, by written notice if such breach or default is not cured to reasonable satisfaction within thirty (30) days of such notice.

 

This work supports the Monterey County Health Department (“MCHD”) 2018-2022 Strategic Initiative: 4. Engage MCHD workforce and improve operational functions to meet current and developing population health needs, and It also supports three of the ten essential public health services, specifically:  2. Diagnose and investigate health problems and health hazards in the community; 3. Inform, educate, and empower people about health issues; and 8. Assure competent public and personal health care workforce.

 

OTHER AGENCY INVOLVEMENT:

The Office of the County Counsel and the Auditor-Controller have reviewed and approved this Amendment No. 2 as to legal form and fiscal provisions, respectively. 

 

FINANCING:

The funds for this Agreement are included in the Health Department’s Behavioral Health Bureau’s (HEA012, Unit 8410) FY 2020-21 Adopted Budget; the remaining funds ($9,691) to extend the subscription to June 30, 2022 is included in the Bureau’s FY 2021-22 Requested Budget.
